Terms of Service – All Pro Accounting & Tax Solutions

Welcome to All Pro Accounting and Tax Solutions LLC (“Company,” “we,” “us,” or “our”).
These Terms of Service (“Terms”) govern your use of our accounting, tax, and financial
advisory services, including our website, online portals, and communications
(collectively, the “Services”). By engaging our Services, you (“Client,” “you,” or “your”)
agree to comply with and be bound by these Terms.

Scope of Services
All Pro Accounting provides professional accounting and financial services, which may
include:
- Tax preparation, filing and Planning (individuals and businesses)
- Bookkeeping and payroll processing
- Financial statement preparation
- Business consulting and advisory services
The specific services to be provided will be described in your engagement letter or
proposal. Services not expressly agreed upon in writing are not included.
Client Responsibilities
You agree to:
- Provide complete and accurate financial information and documentation on a timely basis.
- Respond promptly to requests for clarification or additional information.
- Retain all original records and documents provided to us.
- Review deliverables and notify us promptly of any inaccuracies.
We rely on the information you provide and are not responsible for errors resulting from
inaccurate or incomplete data.
Fees and Payment Terms
- Fees for our Services are outlined in your engagement agreement or quoted prior to service delivery.
- Payment is due upon receipt of invoice unless otherwise agreed in writing.
- Late payments may be subject to finance charges of 3% per month.
- We reserve the right to suspend or terminate Services for unpaid invoices.
All fees are non-refundable once work has commenced, unless otherwise required by
law.
Confidentiality and Data Protection
We treat all client information as confidential and take appropriate security measures to
protect it.
Information will not be disclosed to third parties without your consent, except:
- When required by law or regulation (e.g., IRS or court orders);
- To trusted third-party service providers who assist us in operating our business, under confidentiality agreements.

Professional Standards
We adhere to all applicable accounting and professional standards, including ethical and
regulatory requirements set by governing bodies such as the AICPA (American Institute
of Certified Public Accountants) and IRS regulations.
However, our Services do not constitute an audit, review, or assurance engagement
unless explicitly stated.
Limitation of Liability
To the maximum extent permitted by law, All Pro Accounting and its staff shall not be
liable for:
- Any indirect, incidental, or consequential damages;
- Any losses arising from decisions made based on advice or reports provided under these Terms.
Our total liability shall not exceed the amount of fees paid by you for the specific
Services giving rise to the claim.
Termination
Either party may terminate this agreement at any time with a 30-day written notice.
Upon termination:
- You remain responsible for payment of all Services rendered and costs incurred up to the termination date.
- We will return your original documents upon request and retain copies as required by law.
Record Retention
We may retain copies of work papers and related documentation for up to 7 years, after
which they may be securely destroyed.
You are responsible for maintaining your own copies of tax returns, financial statements,
and other important records.
Dispute Resolution
Any disputes arising from these Terms shall be resolved through good faith negotiation.
If unresolved, disputes may be submitted to binding arbitration under the rules of the
American Arbitration Association.
This Agreement is governed by the laws of the State of Missouri, without regard to
conflict of law principles.
Amendments
We may update these Terms from time to time. The latest version will always be
available on our website or upon request.
Continued use of our Services after any update constitutes acceptance of the revised
Terms.
